Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Uzaily platform and related services (the “Services”) owned and operated by Hallridge Holdings Limited (“Hallridge”, “we”, “us”, or “our”), a company registered in England and Wales.

By accessing or using the Services, you agree to be bound by these Terms.

1. The Services

Uzaily is an AI-powered intelligent hosting and infrastructure management platform. The Services are delivered as software-as-a-service and include AI co-pilot features for monitoring, optimisation, cost management, and automated actions.

2. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Subscriptions and Payment

Access to paid features requires an active subscription. Subscriptions are billed in advance on a monthly or annual basis. Prices are displayed in USD and may change with notice. You authorise us (or our payment processor) to charge the payment method you provide.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries related to payments and handles returns and refunds in accordance with this Refund Policy and applicable law.

4. Artificial Intelligence Features

Uzaily uses artificial intelligence as a co-pilot for infrastructure monitoring, cost management, optimisation recommendations, and automated actions. AI-generated insights and actions are provided for assistive purposes. You remain responsible for reviewing critical actions and for the overall management of your infrastructure. We do not guarantee uninterrupted uptime beyond stated service levels, nor the accuracy or suitability of every AI recommendation for your specific environment.

5. Acceptable Use

You may not use the Services to:

• Violate any applicable law or regulation
• Host or distribute illegal, infringing, or harmful content
• Distribute malware or engage in harmful automated activity
• Attempt to reverse-engineer, decompile, or disrupt the Services or underlying infrastructure
• Use the Services in any way that could harm Hallridge, Uzaily, other users, or the stability of shared infrastructure

6. Intellectual Property

All rights, title, and interest in the Services, including software, branding, documentation, and AI models (excluding your own content and data), remain the exclusive property of Hallridge Holdings Limited or its licensors.

7. Customer Content and Data

You retain ownership of your content and data. You grant us the necessary rights to host, process, and manage that content solely for the purpose of providing the Services. You are responsible for ensuring you have the rights to any content you upload or process.

8. Termination

You may cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms or for activity that threatens the stability or security of the platform. Upon termination, your right to use the Services ends, and we will provide a reasonable window for data retrieval where technically feasible.

9. Limitation of Liability

To the maximum extent permitted by law, Hallridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business opportunities, or goodwill arising from your use of the Services.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
